Exclusions and Limitations

General Terms

Service is always provided on a best effort basis, Agencies that we have developed and manage systems for in the last 10+ years expect to see 99.9% uptime from us, with the most responsive services, our contract with you will roll from month to month, no refunds will be given without our prior agreement.

If you Upgrade, your total to date is calculated at that time and any credit applied, so if you have the "Light" package at $50.00 for the month, but are only 20 days into a month (30 days), but have had 3 extra Talents (at $4.00 each) for a total of 45 days between them (total $6.00), you will be $10.60 in credit which would be deducted from the cost of the Upgrade to the "Medium" or "Large" Package. You will also be setting a new "Month End Date".

If you choose to Downgrade your Agencies account, this will take effect on your "Month End Date", features such as the "Packages" and "Become a Model" sections will become unavailable, talents images over the allowance will be deleted, and at the end of the following month term any Talents on your system will be invoiced at the unit rate.

Nonpayment, If for any reason we do not receive cleared payment by 7 days after your "Month End Date" your Agencies access to the back end of system will be restricted to the financial section only to give you access to reports and invoices and payment solutions, after a further 7 days we reserve the right to disable public access the all aspects of the site including any packages which have been sent to clients.

In the case of misuse of the system we reserve the right to immediately cease services, for instance but not exclusively, causing our network and systems to come under damaging DoS attacks, any attempt to reverse engineer, use the system to attack by any means a third party, create multiple accounts fraudulently, upload any images or other media which proves illegal is shown to be in breach of copyright, this list is likely to change and if you are in doubt, ask.

Payment

Cash or Personal Cheque with Bankers Card, all major Credit/Debit Cards, Bankers Draft or BACS Transfer are all acceptable methods of payment. Our Terms are initially payment in for the basic plan in advance with extra services billed on billing cycle month end paid with cleared funds within 14 days. We reserve the right to seek recovery of any monies remaining unpaid sixty days from the date of invoice via collection Agencies in such circumstances, you shall be liable for any and all additional administrative and/or court costs.

Returned cheques will incur a $40US charge to cover banking fees and administrative costs. In an instance of a second Returned cheque, we reserve the right to terminate the arrangement and, if agreed to, we shall insist on future cash transactions only. Consequently, all bookings and/or transactions and agreements entered into will cease with immediate effect until such time as any and all outstanding monies are recovered in full.

Cancellation Policy

Service can be cancelled at anytime from within your agencies administration pages, unless otherwise agreed the instance will be disabled with the ability to re-enable for a period of 90 daysat which time the instance will be deleted unless service is re-initiated, a minimum 24 hours' notice of cancellation required, service will cease at the end of that months billing cycle. Notification for instance, in person, via email, mobile phone 'text message' and/or fax, or any other means will be accepted subject to confirmation in writing.

Termination of Agreements and Refunds Policy

Both the Client and ourselves have the right to terminate any Services Agreement for any reason, including the ending of services that are already underway. No refunds shall be offered, where a Service is deemed to have begun and is, for all intents and purposes, underway. Any monies that have been paid to us which constitute payment in respect of the provision of unused Services shall at our discretion be refunded.

Availability

You are solely responsible for evaluating the fitness of any service offered from this site. Redistribution or republication of any part of this site or its content is prohibited, including such by framing or other similar or any other means, without the express written consent of the Company. The Company does not warrant that the service from this site will be uninterrupted, timely or error free, although it is provided to the best effort. By using this service you thereby indemnify this Company, its employees, agents and affiliates against any loss or damage, in whatever manner, howsoever caused.

Force Majeure

Waiver

Failure of either Party to insist upon strict performance of any provision of this or any Agreement or the failure of either Party to exercise any right or remedy to which it, he or they are entitled hereunder shall not constitute a waiver thereof and shall not cause a diminution of the obligations under this or any Agreement. No waiver of any of the provisions of this or any Agreement shall be effective unless it is expressly stated to be such and signed by both Parties.

By accessing this website and using our services/buying our products you consent to these terms and conditions and to the exclusive jurisdiction of the English courts in all disputes arising out of such access.
